Please read these Terms and Conditions of Use & Sale (“Terms”) carefully before accessing, using, or subscribing to www.primeiqlabs.com (“Website”). These Terms include disclaimers of warranties, limitations of liability, and your responsibilities as a user (see Sections 11, 16, and 17). By accessing, using, subscribing to, or placing an order on the Website, you agree to these Terms. If you do not agree to these Terms, you are not authorized to use the Website.

IMPORTANT: Your success using PrimeIQ Labs tools, products, and services is contingent on your effort, compliance with instructions, and willingness to adapt and engage in the learning process. You are responsible for doing the work required, and failure to do so will not entitle you to a refund or any form of compensation.

1. Agreement Overview

These Terms govern your access to and use of the Website, any products or services offered, and any transactions or subscriptions made through the Website. By accessing, using, or placing an order, you agree to be bound by these Terms and our Privacy Policy. This forms a legally binding agreement (“Agreement”) between you (“You” or “User”) and PrimeIQ Labs LLC (“PrimeIQ Labs,” “we,” “our,” or “us”).

2. Changes to Terms

PrimeIQ Labs reserves the right to update or modify these Terms at any time without prior notice. The most current version of these Terms will be posted on the Website. Continued use of the Website or our services after any changes have been made constitutes your acceptance of the updated Terms.

3. Website Use

The Website is intended for use by adults operating businesses. By using the Website, you confirm that you are at least 18 years of age or the legal age of majority in your jurisdiction, have the legal capacity to enter into a binding contract, and agree to comply with these Terms.

4. User Responsibilities and Accountability

You understand that:

•PrimeIQ Labs cannot guarantee specific results. Achieving success depends on many factors, including your effort, the market environment, and your ability to apply what you learn.

•You are expected to follow the guidance and instructions provided by PrimeIQ Labs in order to maximize your chances of success.

•If you fail to engage, follow directions, or make necessary efforts, PrimeIQ Labs cannot be held responsible for your lack of results, and no refunds or compensation will be issued for failure due to lack of participation.

•You agree to do the work required to achieve success and acknowledge that PrimeIQ Labs will not do the work for you. If you are not coachable or fail to follow the recommended process, we reserve the right to terminate your access to our services without a refund.

5. FTC Disclosure of Testimonials and Endorsements

Any testimonials, endorsements, or success stories presented on the Website or in marketing materials represent the experiences of specific individuals who have used PrimeIQ Labs’ products and services. Results will vary from person to person. While these testimonials and success stories are real, they do not guarantee that you will achieve similar results.

PrimeIQ Labs makes no representations or guarantees regarding specific outcomes, as individual success depends on many factors, including but not limited to your personal effort, market conditions, and adherence to guidance. No testimonial or endorsement is indicative of future performance.

6. FTC Disclosure of Earnings Claims

PrimeIQ Labs may reference earnings or success in our marketing, but we do not guarantee that you will achieve any specific financial results. The examples used are illustrative of potential outcomes but are not guarantees. Any earnings claims made are based on individual cases and do not apply universally.

Your success or income level will depend on a combination of your personal effort, market knowledge, and ability to execute the strategies taught. By using our services, you agree that PrimeIQ Labs is not responsible for your financial outcomes, and we do not promise that you will achieve financial success.

7. Account Information and Security

You must create an account to use certain features of the Website or access specific products and services. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify PrimeIQ Labs immediately of any unauthorized use of your account.

8. Order Placement and Acceptance

All orders and subscriptions are subject to acceptance by PrimeIQ Labs. We reserve the right to limit or cancel orders and request additional information from you if necessary. Your payment must be received before an order is accepted. All sales are final after 30 days (or 15 days for monthly subscribers), and refunds are only available under our refund policy (see Section 10).

9. Subscription Terms and Automatic Payment

Subscriptions to PrimeIQ Labs products and services renew automatically on a recurring basis. You authorize automatic payments for subscription services. You may cancel your subscription by contacting us at least ten (10) days prior to the next billing cycle.

10. Refund Policy

To comply with FTC guidelines, PrimeIQ Labs offers a 30-day refund policy for initial purchases (15 days for monthly memberships). If you are unsatisfied with your purchase within the first 30 days (or 15 days for monthly members), you may request a refund, subject to the following conditions:

•You must have actively engaged with the product or service and demonstrated effort to implement the provided guidance and tools.

•Refund requests must be submitted in writing via our customer service portal.

•Refunds are not available if you fail to engage with the material or do not follow the guidance provided. Refunds are strictly at the discretion of PrimeIQ Labs and will not be provided after the 30-day (or 15-day) period.

After the refund period, all sales are final, and no further refunds or credits will be issued.

11. Disclaimer of Results

Your success with PrimeIQ Labs products and services is not guaranteed. Individual results will vary based on your participation, effort, and external factors beyond our control. PrimeIQ Labs disclaims any responsibility or liability for failure to achieve specific results.

You acknowledge that PrimeIQ Labs provides educational resources, tools, and guidance, but you are responsible for the outcome. PrimeIQ Labs will not provide refunds or compensation if you fail to make the necessary effort or follow the guidance provided.

12. Lifetime Membership and Product Subscriptions

PrimeIQ Labs offers Lifetime Memberships and Product Subscriptions subject to the following conditions. A Lifetime Membership or Product Subscription remains active as long as PrimeIQ Labs continues to operate or as long as the product remains available in our catalog. PrimeIQ Labs reserves the right to discontinue servicing specific products at its discretion, which will also end the lifetime subscription to that particular product.

If a product you have subscribed to on a lifetime basis is no longer available, we will make reasonable efforts to provide you with access to a replacement product of similar value and utility, when applicable. However, we cannot guarantee the availability of a substitute product in every case.

13. Your Business Responsibilities

You are solely responsible for ensuring that your use of PrimeIQ Labs products and services complies with all applicable local, state, and federal laws, including tax obligations. PrimeIQ Labs will not be held liable for any legal or tax-related issues arising from your business activities.

14. Intellectual Property and License Terms

All content on the Website, including but not limited to text, graphics, logos, images, and software, is the property of PrimeIQ Labs or its licensors and is protected by U.S. and international intellectual property laws. You are granted a limited, non-exclusive, and revocable license to access and use the Website for personal, non-commercial purposes, provided that you comply with these Terms.

You may not copy, reproduce, distribute, modify, or create derivative works of any material from the Website without prior written permission from PrimeIQ Labs.

15. Disclaimers of Warranties

The Website, its content, and all products and services are provided “as is” and “as available” without warranties of any kind, whether express or implied. PrimeIQ Labs disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

To the maximum extent permitted by law, PrimeIQ Labs will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Website or our products and services. Our liability is limited to the amount you paid for the service in question. This limitation of liability applies to any claims of failure to achieve desired results, loss of business, or any damages resulting from your use of PrimeIQ Labs’ products and services.

17. Indemnification

You agree to indemnify, defend, and hold harmless PrimeIQ Labs from any and all claims, liabilities, damages, and expenses, including legal fees, arising from your use of the Website, violation of these Terms, or infringement of any third-party rights.

18. Termination

PrimeIQ Labs reserves the right to terminate your account and access to our services at any time if we determine that you have violated these Terms or failed to meet your responsibilities, including active participation in the process. No refunds will be issued in the event of termination due to your failure to follow instructions or engage with the material.

19. Dispute Resolution and Arbitration

All disputes will be resolved through binding arbitration in Sunnyvale, California. You waive your right to a court hearing, jury trial, and participation in class actions.

20. Governing Law

These Terms are governed by the laws of the state of Nevada, without regard to conflict-of-law principles. Any claims that are not subject to arbitration will be brought in the courts of Nevada.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrimeIQ Labs and supersede any prior agreements or communications.
